Q3 2022 Key Highlights
Strategic acquisitions represented 79 percent of total volume and 63 percent of total value in the 1st 3 Quarters of 2022.
Five of the top ten largest transactions year-to-date were completed by strategic acquirers. This included the industry’s three highest value deals.
Q3 2022 Key Trends
Total transaction volume in the 1st 3 Quarters of 2022 decreased by five percent over the 1st 3 Quarters of 2021, from 3,330 to 3,163.
As for the industry’s horizontal markets on a year-over-year basis, Media & Marketing volume increased 11 percent; Online & Mobile volume contracted five percent; and Software volume fell 14 percent.
Total transaction value in the 1st 3 Quarters of 2022 declined by ten percent over the 1st 3 Quarters of 2021, from $494.6 billion to $443 billion.
Multiples & Value Trends
The median revenue multiple on a year-over-year basis fell by 30 percent, from 4.0x to 2.8x.
The median EBITDA multiple on a year-over-year basis decreased by 25 percent, from 15.0x to 11.2x.
Top Ten Deals Through Q3 2022
Six of the top ten deals by value year-to-date occurred in Q1 2022. Only one transaction from Q3 2022 was included in the top ten list: Adobe’s announced acquisition of Figma, a web-first collaborative design platform, for $20 billion.
These six transactions, with an aggregate value of $131.6 billion, represented 30 percent of transaction value in the 1st 3 Quarters of 2022.
